These Terms of Service ("Terms") constitute a legally binding agreement between you and Nubuor Designs LLC ("Nubuor Designs," "we," "our," or "us") governing your use of our website nubuordesigns.com (the "Site") and our interior design services.

By accessing or using our Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Site or services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

Nubuor Designs is a professional interior design firm based in Boston, Massachusetts, providing interior design services including but not limited to:

  • Material and finish selection

  • Furniture design and selection

  • Kitchen and bathroom design

  • Custom millwork and built-in design

  • Renovation and construction coordination

  • Project management services

The specific scope of services for each project is defined in a separate design services agreement or contract between Nubuor Designs and the client.

These Terms govern only your use of our Site. Separate written agreements govern the provision of actual design services.

3. Use of the Site

Permitted Use

You may use our Site for lawful purposes only, including:

The Nubuor Designs name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Nubuor Designs LLC. You may not use these marks without our prior written permission.

Project Work

Original design work created by Nubuor Designs for client projects remains our intellectual property unless otherwise specified in a written design services agreement. This includes:

  • Design concepts and drawings

  • Floor plans and layouts

  • Custom millwork designs

  • Material and finish specifications

  • 3D renderings

Clients receive a limited license to use these designs for the specific project contracted. Designs may not be used for other projects, reproduced for other properties, or shared with other designers or contractors without our written consent.

Photography

Professional photographs of completed projects remain the property of the photographer and Nubuor Designs. We may use project photographs for marketing, portfolio, and promotional purposes unless otherwise agreed in writing with the client.

User-Generated Content

If you submit content to our Site (such as comments, reviews, or inquiries), you grant Nubuor Designs a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, and display that content in connection with our business operations.

You represent and warrant that any content you submit does not violate any third-party rights or any laws.

Our blog provides information, inspiration, and educational content related to interior design, renovation, and home improvement. This content is provided for general informational purposes only and should not be considered:

12. Indemnification

13. Design Services Agreements

These Terms govern only your use of our Site. If you engage Nubuor Designs for interior design services:

  • A separate written design services agreement will be required

  • That agreement will specify the scope of work, fees, timeline, and terms specific to your project

  • The design services agreement supersedes these Terms with respect to the provision of services

  • These Terms continue to govern your use of our Site even after you become a client

We do not provide design services based solely on inquiries submitted through the Site. All design work requires a signed agreement and deposit.

14. Payment Terms (If Applicable)

If you make any payments through our Site (for consultations, digital products, or other services):

  • Payment is required before services are rendered or products delivered

  • We accept payment via check, and bank transfer

  • All fees are in U.S. dollars

  • You are responsible for any taxes, duties, or fees associated with your purchase

  • Refund policies will be specified in your design services agreement or at the time of purchase

We use third-party payment processors and are not responsible for their actions or failures. Your use of payment processors is subject to their terms and conditions.

15. Confidentiality

We respect your privacy and will keep confidential any information you share with us through inquiries or consultations, except as required by law or with your permission.

If we enter into a design services agreement, confidentiality terms will be specified in that agreement.

Please do not include sensitive personal information (such as financial account numbers or social security numbers) in contact forms or emails unless specifically requested.

16. Geographic Scope

Nubuor Designs is based in Boston, Massachusetts, and primarily serves clients in New England and throughout the United States. We may consider international projects on a case-by-case basis.

Our Site is intended for users in the United States. If you access the Site from outside the United States:

  • You do so at your own risk

  • You are responsible for compliance with local laws

  • Your information may be transferred to and processed in the United States

17. Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.

Jurisdiction

Any legal action or proceeding arising from these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts. You consent to the personal jurisdiction of these courts.

Informal Resolution

Before filing any formal legal action, you agree to first contact us at margaret@mnubuor.com to attempt to resolve the dispute informally. We commit to working with you in good faith to reach a fair resolution.

Arbitration (Optional)

If we are unable to resolve a dispute informally, either party may elect to resolve the dispute through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Boston, Massachusetts.

Class Action Waiver

You agree to bring any claims against Nubuor Designs in your individual capacity only and not as part of any class, collective, or representative action.

Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information without first engaging in informal resolution or arbitration.

18. Force Majeure

Nubuor Designs shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God (natural disasters, severe weather)

  • War, terrorism, civil unrest

  • Pandemics or public health emergencies

  • Government actions or regulations

  • Strikes or labor disputes

  • Failure of third-party service providers

  • Internet or utility outages

In such events, our obligations will be suspended for the duration of the force majeure event.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nubuor Designs regarding your use of the Site and supersede any prior agreements or understandings.

These Terms do not alter or supersede any separate written agreements between you and Nubuor Designs for design services.

21. Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Nubuor Designs.

22. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

23. Survival

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.
